Accepting the Terms
These Terms of Service, which include and hereby incorporate the Privacy Policy at https://prgramed.com/privacy-policy ("Terms"), are a legal agreement between Prgramed Stockholm AB ("Prgramed", "we", or "us") and you ("you"). By using or accessing (a) the website located at https://prgramed.com (the "Site") or (b) any services offered by Prgramed, including software development, design, consulting, and related professional services ((a) and (b) collectively, the "Service"), you agree that you have read, understood, and accept to be bound by the Terms.
Prgramed reserves the right to update these Terms at any time. If we make material changes, we will update the "Last updated" date below. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
Rights to Use the Service
The Service is available only to individuals who are at least 18 years of age. You represent and warrant that if you are an individual, you are at least 18 years old, and that you have the legal capacity to enter into this agreement. You agree to use the Service only for purposes that are lawful and in accordance with these Terms.
Intellectual Property and Ownership
Unless otherwise specified in a separate written agreement, all content, designs, code, graphics, and other materials created by Prgramed as part of the Service are the intellectual property of Prgramed until full payment has been received. Upon full payment, ownership of deliverables will transfer to the client as specified in the applicable project agreement.
Prgramed retains the right to use anonymised or non-confidential aspects of completed work for portfolio and promotional purposes, unless otherwise agreed in writing.
All content on the Site, including text, graphics, logos, and software, is the property of Prgramed or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without prior written consent.
User Content
You are responsible for any content, materials, or information you provide to Prgramed in connection with the Service ("User Content"). You represent and warrant that you have all necessary rights to provide such User Content and that it does not infringe on any third party's intellectual property or other rights.
By providing User Content, you grant Prgramed a non-exclusive, worldwide licence to use, store, and process the User Content solely for the purpose of delivering the Service.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the Service. This obligation survives the termination of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
Limitation of Liability
To the maximum extent permitted by law, Prgramed shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Prgramed's total liability for any claim arising under these Terms shall not exceed the amount paid by you for the specific service giving rise to the claim.
Rules of Conduct
You agree that you will not, in connection with your use of the Service:
A. Provide false or misleading information
B. Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
C. Attempt to gain unauthorised access to Prgramed's systems, networks, or data
D. Interfere with or disrupt the operation of the Service or servers
E. Reproduce, distribute, or exploit any part of the Service without authorisation
F. Violate any applicable laws or regulations, or promote or encourage any illegal activity
These rules are not meant to be exhaustive, and Prgramed reserves the right to determine what conduct it considers to be a violation of the Terms and to take appropriate action.
Termination
You may terminate your use of the Service at any time by contacting us at hello@prgramed.com. Prgramed may terminate or suspend your access to the Service at any time for violation of the Terms or for any other reason at our sole discretion. Prgramed is not required to provide prior notice of such termination.
Upon termination, any provisions of these Terms that by their nature should survive will remain in effect, including but not limited to intellectual property, confidentiality, limitation of liability, and dispute resolution provisions.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden.
